Brace for 2018: Proxy Drafting and Pay Ratio Disclosure

As the first year of pay ratio disclosures is upon us, many companies are facing difficulties in preparing for the 2018 proxy season. This group of expert panelists will discuss the current guidance and recommend approaches for determining the median employee, calculating annual compensation and preparing the required pay ratio disclosures. The panelists will also address the difficult issues around communicating the CEO pay ratio to shareholders and internal stakeholders.

NEW SPEAKER ADDED - Porter H. Nolan, Associate General Counsel and Assistant Corporate Secretary at Superior Energy Services
Porter H. Nolan is Associate General Counsel and Assistant Corporate Secretary of Superior Energy Services, a publicly traded, Fortune 1000 company. Porter is responsible for international M&A, corporate governance, shareholder engagement, securities law and intellectual property matters. He established Superior's first overseas legal office in Scotland, where he lived for over two years supporting the company's growth throughout Europe, the MENA region and Southeast Asia. In addition, he currently serves as a Captain in the US Army Reserve, Judge Advocate General's Corps, and he is a certified FINRA Arbitrator. Porter holds a BA from the University of Virginia, as well as JD and MBA degrees from Tulane University.


Tom McNeill, Partner at Meridian Compensation Partners, LLC

Tom McNeill has over 25 years of consulting and corporate experience. He advises compensation committees and senior executives on a full range of executive and director compensation matters, including compensation benchmarking, incentive plan design, severance and change in control arrangements, and corporate governance. He has also advised clients on a number of significant corporate transactions, including mergers and acquisitions, IPOs and spin-offs. Sinead Kelly is a partner in the Firm's Global Equity Services Practice Group in San Francisco who focuses her practice on global equity compensation and US executive and employee compensation matters.
