Hybrid Panel Discussion on Shareholder Engagement: State of Play [In-Person Registration Only]

Please join the Society for Corporate Governance and Kirkland & Ellis for a complimentary hybrid panel discussion on Shareholder Engagement: State of Play, on Thursday, September 17, from 5:30 to 6:30 PM (Eastern).

Building on last year's highly successful program, our panel—representing relevant perspectives from the issuer, institutional investor, regulatory, and shareholder engagement and activist advisory firm communities—will explore how the shareholder engagement landscape has evolved over the past year, the implications of recent developments for companies, and what lies ahead.

The program will be held at the offices of Kirkland & Ellis LLP, 601 Lexington Avenue, New York, NY. For those attending in person, check-in will begin at 5:00 PM, and a reception will follow from 6:30 to 8:00 PM. The discussion will also be available virtually via Zoom.

Discussion topics include:

  • Current shareholder engagement landscape: how shareholder engagement has evolved 18 months after the SEC's guidance on Schedule 13D/G
  • The future of index fund stewardship: the impact of evolving stewardship models and voting choice (pass-through voting) on shareholder engagement and voting outcomes
  • Regulatory and market developments: the evolving landscape for proxy advisors, the future of Rule 14a-8, mirror voting, and "DExit" (Delaware Exit)
  • Preparing for the 2027 proxy season: steps companies are taking—or should consider taking—to prepare for the upcoming proxy season
